These Terms of Service ("Terms") constitute a legally binding agreement between you and VRLY Ventures LLC, a New Jersey limited liability company doing business as ClearDispute.com ("Company", "we", "us", or "our"), located in North Brunswick, Middlesex County, New Jersey, United States.

By accessing or using ClearDispute.com (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Service Description

ClearDispute is a document organization tool that helps users structure their dispute evidence into formatted packets. The Service uses artificial intelligence to organize information provided by users into professional evidence packets for chargebacks and consumer disputes.

3. No Legal Advice Disclaimer

IMPORTANT: This Service does NOT provide legal advice. VRLY Ventures LLC and ClearDispute.com are not law firms and do not practice law. No attorney-client relationship is created by using this Service. The output generated is for document organization purposes only. For legal advice regarding your specific situation, you must consult a licensed attorney in your jurisdiction.

4. No Guarantees of Outcome

We do not guarantee any particular outcome for your dispute. The success of any chargeback, claim, or dispute depends on many factors beyond our control, including but not limited to:

• The policies of the financial institution, platform, or merchant involved
• The specific circumstances and merit of your case
• The decisions of human reviewers at relevant institutions
• Applicable laws and regulations

5. No Platform Affiliation

ClearDispute is not affiliated with, endorsed by, or connected to any bank, credit card company, payment processor, card network, marketplace, or dispute resolution platform. We are an independent service operated by VRLY Ventures LLC.

6. User Responsibilities

By using this Service, you represent and warrant that:

• You are at least 18 years of age
• All information you provide is accurate, truthful, and not misleading
• You will review all generated content carefully before submission to any third party
• You are responsible for submitting disputes through appropriate channels
• You will comply with all applicable laws, regulations, and platform policies
• You have the legal right to submit any evidence or information you provide

7. Prohibited Uses

You may not use this Service for:

• Submitting false, fraudulent, or misleading claims
• Disputes involving illegal activity
• Harassment or abuse of merchants, platforms, or financial institutions
• Any purpose that violates applicable federal, state, or local law
• Circumventing security measures or accessing the Service in unauthorized ways

8. Payment Terms

Payment is required to export evidence packets. We offer two pricing options:

• One-Time Export: $39 per evidence packet
• Pro Subscription: $99/month for unlimited exports

All payments are processed securely through Stripe. Since you can preview your case structure before paying, refunds are generally not offered except in cases of technical failure. For payment disputes, please contact us.

9. Data and Privacy

We handle your data as described in our Privacy Policy. Key points:

• Uploaded evidence files are automatically deleted after 30 days
• Generated packets are available for download for 30 days after creation
• You may delete your account and associated data at any time

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by VRLY Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you upload to the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VRLY VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your use or inability to use the Service
• Any outcome of a dispute you submit using materials from this Service
• Unauthorized access to or alteration of your data
• Any third-party conduct on the Service

12. Indemnification

You agree to indemnify, defend, and hold harmless VRLY Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Middlesex County, New Jersey.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
